Este artigo busca realizar uma breve e não exauriente análise dos fundamentos jurídicos dos principais votos versados no julgamento do Recurso Especial n. 1.977.172 – PR, ocasião em que a Terceira Seção do Superior Tribunal de Justiça, por meio da aplicação analógica do artigo 107, inciso I, do Código Penal, compreendeu que a incorporação societária enseja a extinção da punibilidade do ente coletivo incorporado. Com isto, pretende-se verificar parte do estado atual da técnica penal e melhor compreender parcela do pensamento sobre a responsabilização penal de pessoas jurídicas de alguns dos julgadores que, naquela sessão, compunham a Seção especializada em Direito Penal. Assim, o fim mediato deste trabalho é contribuir com o desenvolvimento da dogmática criminal nacional buscando possíveis inconsistências na sua estruturação e na sua aplicação.

This article aims to do a brief and not an exhausting analysis of the legal arguments that sustain the main manifestations of the Special Appeal no 1.977.172 – PR trial, when the Terceira Seção do Superior Tribunal de Justiça, applying by analogy the art. 107, I, from Brazilian Penal Code, which understood that the corporate incorporation extinguishes the penal liability of the incorporated legal person. With this, it is intended to verify portion of the current state of criminal law and better understand part of the thinking about criminal liability of legal entities of some of the judges who, in that session, made up the Section specialized in Criminal Law. Thus, the mediate purpose of this work is to contribute to the development of national criminal dogmatics, seeking possible inconsistencies in its structure and application.
